You agree that you are solely responsible for (and that PSA has no responsibility to you or to any third party) for any breach of your obligations under PSA’s Data Protection Policy and for the consequences (including any loss or damage which you may suffer) of any such breach.

Website Visitor Responsibility

By visiting and operating the PSA’s website (www.proemsports.com), PSA does not represent or imply that it endorses the material posted there. Visitors are responsible for taking precautions to protect themselves and their computer systems/access terminals from viruses, and other harmful or destructive content. The Website may contain content containing technical inaccuracies, typographical mistakes, and other errors. PSA disclaims any responsibility for any loss or harm resulting from the use of PSA’s website by visitors.

The copyright in all material provided on PSA’s website is either held by PSA or the original creators of the material. None of the materials may be copied, reproduced, displayed, downloaded, transmitted, distributed, or downloaded through any means, intentionally or unintentionally, without prior written consent from PSA or the copyright owner.

PSA’s offering are the IP of PSA and may not be accessed our used in any form without prior written consent from PSA. Proprietary information about PSA and the IP it owns may not be copied, reproduced, displayed, downloaded, transmitted, distributed, or downloaded through any means, intentionally or unintentionally, without prior written consent from PSA or unless agreed upon with PSA on a contractual basis that includes the terms of its Data Protection Policy.

This Agreement does not transfer from PSA to you any PSA or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with PSA. Trademarks, service marks, graphics and logos used in connection with the PSA’s website or PSA’s offerings belong to PSA and your use of PSA’s website and offerings grants you no right or license to reproduce or otherwise use any PSA trademarks.

Termination and Survival

PSA reserves the right to terminate your access to all or any part of the PSA website and offerings at any time, with or without cause, with or without notice, effective immediately. All provisions of this Agreement, which by their nature should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Limitation of Liability

Under no circumstances shall PSA be liable for any damages, whether direct or indirect, including but not limited to data loss or profit loss, arising out of any use, misuse, or inability to use of PSA’s website or offerings.

General Representation and Warranty

You represent and warrant that your use of PSA’s website and offerings will be in strict accordance with

PSA’s Data Protection Policy,
with this Agreement and
with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported)
and your use of the website and offerings will not infringe or misappropriate the intellectual property rights of PSA or any third party.

Changes

PSA reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to PSA’s website and its offerings following the posting of any changes to this Agreement constitutes acceptance of those changes. The use of any new features introduced by PSA shall also be governed by this Agreement.

These Terms of Use are effective as of January 2018

The following general terms and conditions govern all use of the Proem Sports Pvt. Ltd’s (PSA) applications and services referred to collectively as “offerings”, and its website. Detailed terms and conditions for availing and accessing PSA’s offerings will be set forth on an individual organisational-level contractual agreement between you and PSA.

PSA’s website and its offerings is owned and operated by PSA. All of PSA’s offerings’ are its Intellectual Property and owned by PSA. PSA’s website and offerings is offered to you subject to your acceptance, on behalf of your organization, of these terms and conditions contained herein including PSA’s Data Protection Policy, and those set forth on an individual organisational-level contractual agreement between you and PSA.

Please read this Agreement carefully before availing any of our offerings. By availing and accessing any of PSA’s offerings, you (on behalf of your organization), agree to become bound by the terms and conditions of this Agreement. If you do not agree to all the terms and conditions of this Agreement, then you may not access PSA’s offerings. In addition to these Terms of Use, the provisions of PSA’s Data Protection Policy and your Master Services Agreement or Licensing Agreement or other such agreement with PSA shall govern your relationship with PSA.
